What you need to incorporate

To register a company in Singapore, every business owner must meet a set of criteria under the Companies Act. Here's what you need before filing with ACRA.
Business structure
The most common choice is a Private Limited Company (Pte. Ltd.). It protects directors and shareholders from personal liability and unlocks corporate tax rates and government grants.
Company name approval
Your company name must be approved by ACRA before incorporation can proceed. Grof checks availability and flags issues like regulated words before submission.
Resident director
Every Singapore company must have at least one ordinarily resident director — a Singapore citizen, PR, or EP/EntrePass holder. As a local founder, you qualify from day one.
Company secretary
A qualified company secretary must be appointed within 6 months of incorporation. Grof includes company secretary appointment in every incorporation package.
Shareholders
A Singapore Pte. Ltd. must have at least 1 and no more than 50 shareholders. The director and shareholder can be the same person. Grof prepares all shareholder resolutions.
Registered office address
