Why Singapore is a top choice
for international entrepreneurs
100% foreign ownership, no exceptions
Singapore incorporation places no cap on foreign shareholding, unlike many neighbouring markets.
17% flat corporate tax
Some of the lowest effective rates in Asia. New companies can pay well under 10% effectively in their first three years under the Start-Up Tax Exemption.
No capital gains tax, no double taxation
Singapore's single-tier system taxes profit once; dividends to shareholders are tax-free.
A real gateway to Southeast Asia
Over 80 tax treaties and one of the world's busiest ports and airports put every major ASEAN market a short flight away.
How to register a company in Singapore
as a foreigner, with Grof
Pick your package & reserve your name
Pick the incorporation package that suits your situation. We check and submit your company name to ACRA, flagging naming issues before you find out the hard way.
Appoint your nominee director
Foreign founders need an ordinarily resident director. Grof appoints a licensed nominee to your board — they hold no operational control. The business stays entirely yours.
Prepare & file your documents
Your Grof specialist prepares your Constitution, shareholder resolutions, and KYC documentation. Everything is reviewed and e-signed online.
File with ACRA via BizFile+
We submit your foreign company registration through BizFile+. Most applications are approved within 7 business days. You'll receive your UEN and Certificate of Incorporation directly.
Get set up to operate
Once ACRA confirms registration, Grof activates your registered address, sets up your compliance calendar, and helps you open a business account with a partner like Airwallex.

Why foreign founders choose Grof
for Singapore company formation
Fully remote, fully compliant
Complete your Singapore incorporation entirely online, from wherever you're based. Grof handles the nominee director appointment, document preparation, and ACRA filing.
Real advisors, not a support queue
Every Grof client gets a named incorporation specialist who understands cross-border setups — currency, time zones, and the extra paperwork foreign ownership brings.
Transparent, all-in pricing
No "starting from" pricing that balloons once nominee director and registered address get added on. What's quoted is what you pay, government fees included.
Compliance that doesn't stop at registration
Most company incorporation services hand you a UEN and disappear. Grof sets up your compliance calendar, keeps your nominee director appointment current, and tracks every ACRA and IRAS deadline.
What foreigners need to register
a company in Singapore
Foreign company registration in Singapore follows the same Companies Act framework as local incorporation, with one key difference: the resident director requirement. Here's what has to be in place before ACRA will approve your filing.
Nominee (resident) director
Every Singapore company needs at least one director who is a citizen, PR, or EP/EntrePass holder ordinarily resident here. Grof provides a licensed nominee director for your company.
Business structure
Foreign founders overwhelmingly choose a Private Limited Company (Pte. Ltd.). It shields you from personal liability and qualifies for corporate tax rates.
Company name approval
Your proposed name is checked against ACRA's register before filing. Grof flags naming issues before submission, not after.
Company secretary
A qualified, Singapore-resident company secretary must be appointed within 6 months of incorporation. Grof includes this in every foreign incorporation package from day one.
Shareholders
A Pte. Ltd. can have 1 to 50 shareholders, and 100% foreign shareholding is permitted. Directors and shareholders can be the same person, aside from the nominee director requirement.
Registered office address
Every Singapore company needs a local registered address. A P.O. Box or overseas address won't satisfy ACRA. Grof provides a Singapore CBD address for 12 months.
Paid-up capital
Just S$1 in minimum paid-up capital is required, making Singapore incorporation accessible even for founders bootstrapping from abroad.
Work pass (if you plan to relocate)
Incorporating a company does not automatically grant you the right to work in Singapore. If you intend to move here, you'll separately need an Employment Pass through MOM.
